Welcome to M1labs.co, operated by Modular 1 Labs (“M1labs,” “we,” “our,” or “us”), a subsidiary of Success Stride Ventures. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and tools. By using our website or services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using M1labs.co or any of our services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not accept these Terms in full, you may not use our website or services.

2. Services Provided

M1labs provides consulting and implementation services including, but not limited to:

  • AI agent design and development

     

  • AI workflow automation

     

  • Custom conversational agent tools

     

  • Zoho One system implementation, configuration, and training

     

The specific scope of services will be defined in a formal Proposal, Contract, or Statement of Work (SOW) agreed upon between M1labs and the client.

3. Ownership and Intellectual Property

All materials, software, content, visuals, branding, documentation, and processes offered or used by M1labs remain the intellectual property of M1labs or its licensors. This includes proprietary AI agent frameworks, automation templates, and strategic workflows.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for internal business purposes and in accordance with these Terms.

Any unauthorised use, copying, resale, redistribution, or publication of M1labs intellectual property is strictly prohibited.

4. Confidentiality and Data Ethics

M1labs maintains a strict ethical stance regarding client data privacy, system access, and proprietary business information. Both parties agree to:

  • Keep all non-public information confidential

     

  • Not disclose confidential information to third parties without written consent

     

  • Take reasonable measures to secure access to client data during and after service delivery

     

M1labs will never use client data for resale, analysis, or third-party gain outside the scope of project delivery.

5. Limitation of Liability

To the maximum extent permitted by law:

  • M1labs shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the use of our services, AI tools, or consulting outcomes.

     

  • Our liability under any legal theory is limited to the total fees paid by the client for the specific services in question.

     

We do not guarantee specific business results from our services, though we strive for best-practice outcomes.

 

6. Third-Party Tools and Integrations

M1labs may integrate or suggest the use of third-party tools and platforms (such as Zoho, OpenAI, Tidio, or other CRM/chatbot/AI systems). While we configure and support these tools, we are not responsible for:

  • The performance, pricing, or licensing of these tools

     

  • Any data loss, outages, or errors caused by those external platforms

     

Clients are responsible for maintaining their own third-party tool accounts unless otherwise specified in writing.

7. Payment and Refund Policy

Payment terms, pricing, and milestones are defined in each project’s agreement. All payments are:

  • Due according to the schedule outlined in your signed proposal or invoice

     

  • Non-refundable once services or consulting have commenced

     

Late payments may result in delayed delivery, project pauses, or suspension of access to deliverables.

8. Termination

M1labs reserves the right to terminate a project or client relationship if:

  • The client breaches these Terms or the service agreement

     

  • There is inappropriate, illegal, or unethical conduct

     

  • Payment obligations are not met within the agreed timeline

     

In addition:

  • Either party may terminate the agreement with a 30 days’ written notice, provided all outstanding obligations up to the date of termination are fulfilled.

     

Upon termination, all unpaid balances will be due immediately and access to active deliverables may be revoked.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of [Ontario, Canada]. Any legal disputes shall be handled within the jurisdiction of these courts.

10. Changes to Terms

M1labs reserves the right to revise or update these Terms at any time. We will post the most current version on our website with a new “Last Updated” date. Continued use of our site or services after any update constitutes acceptance of the new terms.
